Guide for Representation in Companies’ Boards

The guide addresses a number of Corporate Governance principles. These principles refer to the rules, regulations and procedures that protect and balance the interests of the company managers, shareholders and other stakeholders. While these rules could be considered complimentary to the various provisions of laws handling companies issues- specifically the Companies Law 22 of 1977 and its amendments, in addition to other regulations issued pursuant thereto-, what makes such rules distinctive is that Corporate Governance rules neither represent mandatory legal provisions, nor are legally binding. They merely regulate and highlight good conduct in the companies' Boards according to international criteria and practices that achieve balance among the interests of the various parties. Therefore, these rules reflect their guiding nature in a sufficient manner.
